Correction, Most of you know it is ( ctrl alt delet ) for the task manager.

Had the same issue on two Sony laptops running Xp. Maxtor had this to say:

We typically see the MaxBackServiceInt.exe using 98-100% of the CPU on systems where users are also running Windows One Care. There is an mpeng.exe that can cause this to happen. If you are running this program, try disabling it to see if that resolves the issue. If it does not, or if you are not running One Care, then right click on My Computer, go to Manage, then go to Services. Find the MaxBackServiceInt.exe and double click on it. Change the setting from Automatic to Manual. That will prevent the service from running when the software is not running, and should resolve the 100% utilization issue.

Not adequate in my view. I've uninstalled it and use other backup software.

Bug
The program loops if 'Automatic Backup' is 'On' but the schedule is 'Never' (presumably looking for the next backup day). In Step 2, check at least one day, and then click 'Off' after step 2 finishes. If the service is already running in a loop. restart it, or the computer.
