okay, the chkdsk /r runs all the way through, you are right Phil. The drive is brand new I jsut installed it and cloned the old hard drive to this one as the old one had reached capacity. Don't know if that sheds any more light on it. I ran the eventvwr and see lots of info and error s listed. Not sure what to do with this info.

I read your note closer and I see that most error s and warnings are Application Hang or Application errors and alot of errors with MsiInstaller. Should I make note of any listings with WinLogon even if not error?

So, to clarify.
You installed a new drive and cloned the old one onto it?

What software did you use?
Is this the first time that you have done a defrag on the new drive?

From the Event log, note the WinLogon messages. This is where defrag should be noting it's warnings/errors.
If you wish to make it smaller, run Eventvwr, Select Application, Action > Clear All Events and don't save the file.
Then, rerun Chkdsk and then post back any Winlogon messages.

If Defrag is complaining, there is something about the disk directory structure that it does not like, and the cause could be a flaky drive, or a bad clone.

yes, it is a new drive. I used the seagate software that came with the drive to clone the old drive to it. I hadn't been able to run defrag on old drive due to lack of space on the drive, it was very very full. I had to delete a bunch of programs to make enough space to add the cloning software .
I'll do the next things you mentioned in a minute.

Download & install NtfsInfo

To run it, do Start > Run > CMD
to get to the command prompt
Then, CD to the folder that you installed it in and then type
NTFSINFO C:

Then Click on the top of the window, Edit > Select All, Edit > Copy
Then come back here and in a reply post, Paste

This will show the characteristics of the drive,

Have you tried to run the defrag in safe mode?

CD is to Change Directory

So, if you installed the program in Program Files under C and called the folder Ntfs Info
at the prompt you would do the following
CD C:\Program Files\Ntfs Info {enter}
The Prompt would then change to the directory being CD'ed to.
IE: C:\Program Files\Ntfs Info

Then, do
ntfsinfo c: {enter}

The info on the C drive would then display
Then do the copy/paste

The drive is set up as FAT32, not NTFS. Does this make a difference?

As a double check ....
Your original drive was FAT32 as well? IE the "clone" didn't move it from NTFS to FAT32 somehow?

That is correct. Was FAT32 and is FAT32. I'm fairly sure, not positive but darn near positive.

Is the drive backed up?
Are you having any other "strange" things happening on your box?

If, yes and no, the download JKDefrag from the link posted and see how it fares with your drive.

I have not had any thing strange happen at all. Just wanted to defrag because with the old drive I never had enough space to run defrag so it has been a long time. In fact if I hadn't tried to run defrag I probably wouldn't have thought any thing was amiss.

Okay, finally finished the JKDefrag program. The thing ran for over 26 hours! Should I now be able to run XP's defrag or is that even necesssary. Alos should I need to do something about the errors it was reporting?
Thanks
