Code 39 Error With new NIC
i installed a new netgear nic card model GA311. after it installs the drivers from the cd it gives me Windows cannot load the device driver for this hardware. The driver may be corrupted or missing. (Code 39).

and the device will not work. it tells me to uninstall and reinstall the drivers and restart and i do all this and i get the same thing. so i googled for the answer and about the only thing i find relating to Code 39 is peoples cdroms stop working and they get this error. Both my cdroms are working fine. This is a gateway computer with windows xp pro sp3.
it has an onboard nic in it but it stops working occasionally

well, that didnt work. i shut down cpu, took out nic, booted up and couldnt find it in device manager to uninstall it, so i put it back in and it starts to re install it anyways and it keeps asking for a disk. windows recognizes it as the correct card the ga311. anymore ideas?
