Wait a minute!
Your motherboard is based on the Intel 945 chipset which only supports an FSB speed @ 1066 Mhz. The Core 2 Duo E8400 has an FSB @ 1333.

As you can see, the E8400 is only supported after updating your BIOS and I'm not sure what "By overclocking" means...I wouldn't suggest using this processor with this board.
Play it safe and buy the C2D E7400 which seems to be supported without tricky tweaks.
Please keep in mind that you need to do these things in order to ensure CPU compatibility:
1) Update your BIOS to the latest version needed for the CPU you are going to install
before installing the new CPU.
2) Check the revision of your motherboard. You may not be able to use certain CPUs if your motherboard isn't the latest revision. You can usually find this info on the motherboard's manual or on the board itself. Gigabyte motherboard's usually have their revision number printed on a corner of the board, usually the corner below the PCI slots.

Cheap and powerful enough for MW2 and similar games. Another good idea is to find an older processor, like the first generation of Core 2 Duo chips.
Something like the C2D E6600 (or E6300, E6400, E6700) will work right out of the box on your board (no bios update is necessary) and will also be enough for MW2.
Remember that processors with FSBs @ 1333 will run @ 1066 on your board. This practically means that you will be underclocking the CPU...

Getting a new motherboard and CPU will cost almost the same as getting a Core 2 Duo E8400 which may not be fully compatible with your board. IMHO it's a much safer option. If of course your memory is DDR2...

Ok, 750 watts seem to be plenty. But is this PSU a quality unit?
1) What's the maker and model of your PSU?
2) Check on the sticker on your side of your PSU (or its manual). You should be able to see something like this:
+12V1 18A
+12V2 18A
+12V3 18A
These are the amperage values for each +12V rail of your PSU. These rails are essential for the stability of a modern computer. If you have less than three +12V rails which provide less than 18A then you may have a problem here as well. Find those values and post back.
