I'm thinking you have an ad generator on your pc but the pop-up blocker or security suite is stopping it from opening. Have you run any spyware scans?

the popup is an HP Service reminder for creating a recovery cd
as well as for internet service signup
if you run task scheduler, you will see how often it is set to run.
(every 30 minutes everyday until some end date)

solution:
delete entire folder at
C:\Program Files\Hewlett-Packard\HP Software UI\Easy Internet Signup
and
delete "HPSdpApp.exe" AND "reminder" in location
C:\Program Files\Hewlett-Packard\SDP
