    hi guys
    i want to know if my pc could run win 8 or 8.1..

    OS Version: Microsoft Windows XP Professional, Service Pack 3, 32 bit
    Processor: Intel(R) Core(TM)2 CPU 6600 @ 2.40GHz, x86 Family 6 Model 15 Stepping 6
    Processor Count: 2
    RAM: 3519 Mb
    Graphics Card: NVIDIA GeForce 9800 GT, 512 Mb
    Hard Drives: C: Total - 156319 MB, Free - 119081 MB;
    Motherboard: ASRock, G31M-VS2

    The Intel processor supports 32-bit/64-bit versions of Windows.

    The NVIDIA graphics card supports Windows 8.1 32-bit/64-bit.

    The ASRock motherboard has driver support for Windows 7 32-bit/64-bit, but not for Windows 8 or newer.

    Run the Windows 8 Upgrade Assistant as TerryNet advised.

    The Windows 8 Upgrade Assistant doesn't run on XP, it only works on Win 7. I just recently tried that.

    It runs on XP for me. (And, I don't need help figuring out how to add more RAM or hard drive space; this is a machine in VirtualBox.)

    From the Windows 8 Upgrade Assistant site:

    If you're running Windows XP, you need to have Windows XP Service Pack 3 (SP3) installed to use Windows 8 Upgrade Assistant.

    I didn't mention SP3 'cause your Computer specs say you have SP3. Different machine?
