Computer Won't Shut Down

When i try and shut down my computer it acts as if its shutting down (I see window saying windows is shutting down), screen goes off and then comes immediatley back on, like its doing a restart instead of a shut down. Please help

My machines particulars are listed below:

Windows XP Professional (build 2600)
1500 megahertz AMD Athlon XP
128 kilobyte primary memory cache
256 kilobyte secondary memory cache
60.03 Gigabytes Usable Hard Drive Capacity
18.62 Gigabytes Hard Drive Free Space
c: (on drive 0) 54.79 GB 15.17 GB free
d: (on drive 0) 5.24 GB 3.45 GB free

its been happening for a while now (couple of months). Can't remember what was installed when problem started happening.
