Power down sound + freezing up WinOS

Hello!

I recently have been encountering a serious problem with my computer. Whenever I log in to the Windows XP OS my computer eventually freezes. Before freezing I clearly can hear the sound same like when I turn off computer.

The problem started recently, when I switched RAM cards to different slots (each 512 DDR2). However, is it really the RAM problem if the system can operates okay even for hours before actually hearing power off sound which follows freezing up?

I also bought new keyboard, USB based one - Logitech K120. It's working okay since I'm typing with it, however problems did arose with my old PS/2 keyboard and that's exactly when the problems started. Could it still be a driver problem even if I did a complete re-installation of OS?

I installed ZoneAlarm Free edition.During startup I noticed the occurrence of freezing during starting of services, notably Avast Free edition and ZoneAlarm since none of those showed up in the lower right corner of the taskbar. Most frequent freezing up with power off sound occurs exactly during startup.

If you need my System specifications I could post, however I doubt that this has anything to do with system. Overheating is no problem at all, processor fan is clean and so is power outlet fan.
My suspects are two of MAXTOR HD (however, they don't seem to cause problems when it comes to transferring files), RAM memory (usually, if I start computer I immediately have to restart it up to hear motherboard beep) or, eventually, USB keyboard problem...
Any help is highly appreciable. Thanks in advance :}
