I am able to download successfully into the memory stick but cannot open it. Message reads that I have to format the stick. When I attempted to format it, it was unable to do so.

The reason why you are getting the message to format your memory stick is the partition table is corrupted. Corruption can occur if you remove the memory stick when you using a file on the memory stick. It's best to go to the task bar and look for the USB storage icon and click on it to eject the memory stick. Windows will tell you either that you can remove it or it's being in use and shouldn't be removed.

Do you mean download as in copy data _from_ your memory stick? If so, copy all your data now from your memory stick. If not, the word that you should use is upload. Never write data to a drive/disk or memory stick if it's corrupted.

If the memory stick shows up as a drive letter, you can run chkdsk in cmd.exe. The following is information about chkdsk.
