Shutdown/Restart Problem

    I just put together a nice new system with a P4S333 and P4 1.60A. It worked fine for about a week and a half, but now whenever I try to shut the system down from windows (Win 2k), it shuts down, but does not turn off. The monitor is black, but still recieiving signal, the fans are all still running, etc. When I restart, it gets to that point, then stops (ala, doesnt go into startup mode). When I use my motherboard's soft off feature (by holding in the power button when booted into windows), it turns off, then on the next bootup gives me a BIOS error about an incorrect CPU frequency (scary stuff!). I e-mailed Asustek (the mobo maker), but I'm still not convinced it is indeed the motherboard. Could it be the power supply? What else could it be? Im really ina jam here and any nelp you guys could render would be appreciated greatly!
