On my Win 98 SE shut down procedures: When I
go to shutdown, the screen STARTS the proper
procedures, the screen says "shutting down", BUT
then sits there for a minute or so, and THEN
    reboots, WITHOUT shutting down...HELP

First thing I'd do is run both a Virus & Trojan scan.
Then look at any changes you've made recently, ie., file cleaning, install software, uninstalling software, etc.

    Also check THIS out.
